1. Introduction

Puppy Atlas Private Limited (“Puppy Atlas,” “we,” “us,” or “our”) is committed to providing high-quality services in business consultancy, e-commerce solutions, digital marketing, and product development for the pet industry. This Refund and Cancellation Policy (“Policy”) outlines the terms governing cancellations and refunds for all services provided by Puppy Atlas, ensuring transparency and compliance with applicable Indian and international laws, including but not limited to the Consumer Protection Act, 2019 (India), and general principles of contract law globally.

This Policy applies to all clients (“Client,” “you,” or “your”) engaging Puppy Atlas for services, including but not limited to e-commerce platform management, business consultancy, digital marketing, and product development. By engaging our services, you agree to be bound by this Policy.


2. General Principles

  • Non-Refundable Services on Client Cancellation: All services provided by Puppy Atlas are non-refundable if cancelled by the Client after the commencement of services, as significant resources, expertise, and time are allocated to deliver customized solutions.
  • Partial Refund on Puppy Atlas Cancellation: If Puppy Atlas cancels a service due to unforeseen circumstances, a partial refund may be issued, proportional to the services not rendered, subject to the terms below.
  • Single Authorized Account: All payments to Puppy Atlas must be made to the designated bank account specified in this Policy. Payments to any other account will not be recognized, and Puppy Atlas will not be liable for such transactions.
  • Legal Compliance: This Policy adheres to Indian laws, including the Consumer Protection Act, 2019, and the Indian Contract Act, 1872, as well as international contract law principles, ensuring fairness and clarity in all transactions.

3. Payment Terms

All payments for Puppy Atlas services must be made to the following authorized bank account:

Important:

  • Payments transferred to any other account will not be considered valid, and Puppy Atlas will not be responsible for any loss or liability arising from such transactions.
  • Clients must verify the bank details before making payments and retain proof of transaction (e.g., UTR number) for reference.
  • All payments are subject to applicable taxes as per Indian law, including Goods and Services Tax (GST), which will be clearly outlined in invoices.

4. Cancellation by Client

4.1 Non-Refundable Services:

  • Once a service agreement is signed and services commence, all payments made by the Client are non-refundable, regardless of the reason for cancellation. This includes one-time fees (e.g., e-commerce development cost of ₹60,000) and recurring fees (e.g., monthly maintenance of ₹25,000 or consultancy fees of ₹25,000).
  • This policy reflects the customized nature of our services, which involve significant upfront work, including platform setup, analytics, content creation, and strategic planning, tailored to the Client’s needs.
  • As per Section 2(47) of the Consumer Protection Act, 2019, services rendered with mutual consent are subject to agreed terms, and Puppy Atlas’s non-refundable policy is disclosed upfront to ensure transparency.

4.2 Cancellation Process:

  • Clients wishing to cancel services must notify Puppy Atlas in writing via email to ankur@puppyatlas.com, specifying the service and reason for cancellation.
  • Verbal or informal cancellations (e.g., via phone or social media) will not be accepted.
  • Upon cancellation, Puppy Atlas will cease service delivery, and no further invoices will be issued for future periods. However, payments for services already rendered or in progress are non-refundable.

4.3 Legal Basis:

  • Under the Indian Contract Act, 1872 (Section 73), once a contract is executed and services are initiated, the Client is liable for costs incurred by the service provider. Puppy Atlas’s non-refundable policy is designed to cover these costs.
  • Internationally, this aligns with principles of contract law, where parties are bound by agreed terms unless otherwise stipulated.

5. Cancellation by Puppy Atlas

5.1 Partial Refund Eligibility:

  • Puppy Atlas reserves the right to cancel services due to unforeseen circumstances, such as force majeure (e.g., natural disasters, government restrictions), technical impossibilities, or other events beyond our control.
  • In such cases, Puppy Atlas will issue a partial refund proportional to the services not rendered. For example:
    • For one-time fees (e.g., ₹60,000 e-commerce development), the refund will reflect the percentage of work not completed (e.g., 50% refund if half the work is incomplete).
    • For monthly fees (e.g., ₹25,000 maintenance), the refund will be prorated based on the remaining days in the billing cycle (e.g., 50% refund for 15 days unused).
  • Refunds will not include costs for services already delivered or expenses incurred (e.g., third-party platform fees, photoshoots).

5.2 Notification:

  • Puppy Atlas will notify the Client in writing via email, detailing the reason for cancellation and the refund amount, within 7 business days of the decision to cancel.
  • Refunds will be processed within 30 business days, subject to verification of payment details.

5.3 Legal Basis:

  • Under Section 65 of the Indian Contract Act, 1872, if a contract becomes impossible to perform, the party unable to perform must restore benefits received. Puppy Atlas’s partial refund policy complies with this obligation.
  • Internationally, this aligns with the principle of restitution in contract law, ensuring fairness when services cannot be delivered.

6. Refund Process

6.1 Eligibility Verification:

  • Refunds are only applicable for cancellations initiated by Puppy Atlas, as outlined in Section 5.
  • The Client must provide proof of payment (e.g., transaction receipt, UTR number) and confirm the bank account details for refund processing.

6.2 Processing Timeline:

  • Refunds will be processed within 30 business days from the date of cancellation confirmation.
  • Refunds will be credited to the Client’s original payment account, subject to banking regulations.

6.3 Non-Transferable Refunds:

  • Refunds will only be issued to the account from which the payment was made, as verified by Puppy Atlas.
  • Puppy Atlas will not transfer refunds to personal accounts or third-party accounts to prevent fraud and ensure compliance with anti-money laundering regulations under the Prevention of Money Laundering Act, 2002 (India).

6.4 Currency and Taxes:

  • Refunds will be issued in Indian Rupees (INR), net of any applicable taxes or bank charges.
  • GST paid on services rendered will not be refunded, as per GST laws in India.

7. Authorized Payment Account

  • All payments must be made to the authorized bank account specified in Section 3.
  • Puppy Atlas maintains a single current account for all transactions to ensure transparency and compliance with Indian banking regulations, including the Reserve Bank of India’s guidelines on payment systems.
  • Payments to unauthorized accounts will not be recognized, and Puppy Atlas will not be liable for any resulting disputes or losses. Clients are advised to verify account details with Puppy Atlas before initiating transactions.
  • This policy aligns with international best practices for secure financial transactions, reducing the risk of fraud under laws like the EU’s Payment Services Directive (PSD2).

8. Dispute Resolution

  • Any disputes arising from this Policy or service cancellations will be resolved through amicable negotiation between Puppy Atlas and the Client.
  • If unresolved, disputes will be subject to mediation under the Arbitration and Conciliation Act, 1996 (India), with proceedings conducted in Delhi NCR, India.
  • For international Clients, disputes will be governed by Indian law, with Delhi NCR as the jurisdiction, unless otherwise agreed in the service contract.
  • This ensures compliance with Indian legal frameworks and international arbitration principles.

9. Amendments to Policy

  • Puppy Atlas reserves the right to amend this Policy at any time, with changes effective upon posting on www.puppyatlas.com or notification to Clients.
  • Clients will be informed of significant changes via email at least 15 days in advance.
  • Continued use of services after amendments constitutes acceptance of the updated Policy.
